Protecting your intellectual property and confidential information during our consultation

Purpose of This Agreement

This Non-Disclosure Agreement ("NDA") is entered into between Visionary Tech Consulting ("Receiving Party") and you, the prospective client ("Disclosing Party"). This agreement ensures that any confidential information shared during our consultations, discovery calls, vision sessions, or project discussions is protected and treated with the utmost confidentiality.

Definition of Confidential Information

"Confidential Information" includes, but is not limited to:

Business plans, strategies, and operational methodologies
Product ideas, concepts, designs, and intellectual property
Technical specifications, algorithms, and software designs
Financial information, pricing strategies, and projections
Customer lists, vendor relationships, and market research
Any information designated as confidential or proprietary

Obligations of the Receiving Party

Visionary Tech Consulting agrees to:

Hold and maintain the Confidential Information in strict confidence
Not disclose Confidential Information to any third parties without prior written consent
Use Confidential Information solely for the purpose of evaluating and providing services
Protect Confidential Information using the same degree of care as our own confidential materials
Limit access to team members who have a need to know and are bound by confidentiality obligations

Exclusions from Confidentiality

This agreement does not apply to information that:

• Is or becomes publicly available through no fault of the Receiving Party
• Was rightfully in the Receiving Party's possession before disclosure
• Is independently developed without use of Confidential Information
• Is disclosed pursuant to a legal requirement or court order
• Is disclosed with written approval from the Disclosing Party

Duration

This NDA shall remain in effect for a period of three (3) years from the date of acknowledgment, unless otherwise terminated by mutual written agreement. The obligations regarding Confidential Information shall survive the termination of this agreement.

Return of Materials

Upon request or termination of business discussions, Visionary Tech Consulting agrees to return or destroy all materials containing Confidential Information, including any copies, notes, or derivative works, unless retention is required by law.

Remedies

Both parties acknowledge that any breach of this NDA may cause irreparable harm for which monetary damages may be inadequate. Therefore, either party may seek injunctive relief in addition to any other remedies available at law or in equity.

Acknowledgment

I have read, understand, and agree to the terms of this Non-Disclosure Agreement. I acknowledge that Visionary Tech Consulting will treat my confidential information with the same level of protection as described above, and I agree to treat any confidential information shared by Visionary Tech Consulting with the same level of care. This acknowledgment constitutes my electronic signature and acceptance of this NDA.
